Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 20, 2009, the Board of Directors of Tortoise Capital Resources Corporation (the “Company”) approved an amendment to the bylaws of the Company, in Article II, Section 2 relating to the timing of the annual meeting of stockholders of the Company.  Originally, Article II, Section 2 of the bylaws provided that an annual meeting of stockholders would be held on a date and time during the month of April in each year set by the Board of Directors.  The amendment to the bylaws allows the Board of Directors to set the date of the annual meeting on such other date after April in the same calendar year as the Board of Directors deems appropriate.  A copy of the bylaws of the Company as so amended is attached as Exhibit 3.1 to this Form 8-K.
